UNAMS Constitution

Article I

Membership to the Ugandan North American Medical Society, (UNAMS), hereafter called the Society, is open to all dully qualified physicians and dentists with an interest in Uganda, who pledge to abide by the rules and regulations of the Society and pay the Society Annual Dues. Membership is open to all eligible medical and dental professionals without regard to gender, age, sexual orientation, ethnicity, country of residence or location of graduating institution.

Article II

 

    Objective of UNAMS
  • To foster unity and collegiality among physicians and dentist who have an interest in Uganda.
  • To foster, encourage and facilitate professional networking among members of the Society.
  • To facilitate the exchange and sharing of professional and other developments among Society members.
  • To create an environment conducive the mentoring of young physicians and dentists as well as medical and dental students by more experienced Society members.
  • To facilitate the mentoring of senior members of the Society who are in the process of leaving the profession into alternative vocations, so that they remain useful to the community.
  • To channel assistance both material and financial into Ugandan institutions and individuals in the medical community in an organized manner, in a way that empowers, encourages and promotes excellence.
  • To foster networking and exchange of ideas among members of the Society and the broad Ugandan Medical Community with a view to participate in the uplifting of medical services and medical education in Ugandan medical and dental schools.
  • To enhance the approach to medical and dental problems in manner that promotes excellent professional best practices and promotes the practice and maintenance of good community health standards.

 

Article III

The Mission Statement of the Society is "Benevolentia, Professio Excellentia et Communitas Curare". Translated into English it means "Goodwill, Professional Excellence, and Community Health"

Article IV

 

    Responsibilities
  • Each member of the Society shall work to promote the Mission of the Society, pay membership dues on a timely basis and attend Society Meetings, including the Annual General Meeting.
  • All members of the Management Board shall be members of the Society, dully elected by the majority of members eligible to vote.
    • The President of the Society shall
    • Preside over the Annual General Meetings and other Society meetings
    • Direct the agendas of Society meetings
    • Oversee the implementation of the Society plans
    • Direct the production of an Annual Report
    • The Secretary of the Society shall
    • Draft the agendas of the Society meetings
    • Communicate the dates and venues of the Society meetings to all members
    • Maintain an accurate record of Society meetings
    • Distribute the minutes of the Society meetings to members in a timely fashion
    • The Treasurer of the Society shall
    • Collect and receive all monetary and other revenue of the Society
    • Deposit (or cause to be deposited) all the Society revenue into the Society bank account or accounts
    • Disburse funds on behalf of the Society, as may be directed by the Management Board
    • Produce and distribute to all members in good standing, an Annual Financial Report
  • The Society Board Members shall perform any task relevant to the Society, as may be assigned by the Management Board

 

Article V

Non Profit Status

At the earliest possible opportunity, the officers of the Society will cause the Society to be registered as a non-profit organization which is exempt from all Federal and State taxes under the 501(c) 3 statute of the United States Internal Revenue code.

Article VI

Amendment Procedure

This Constitution may be amended by a vote of two thirds majority of the members present at an Annual General Meeting.
